In order to adapt to the development of Cathay Group, the Group revised the cooperation mode of the project-based customers in 2012. The main purpose of the group is to jointly register the subsidiaries of the independent legal entities, and no longer have the reputation of the branch.

First, the basic principles:
1. Only develop county-level and district-level cooperation; do not register at the provincial, municipal, and regional levels.
2. The name of the subsidiary company is: Nanjing Guotai Group XX Co., Ltd. (XX is the name of the region)
3. Once the registration is successful, the group companies in the region will no longer set up a second subsidiary, office, etc. The subsidiary business is only for the area where the subsidiary is located. If it needs to cross the region, it needs to report to the group company. If there are no independent subsidiaries or offices in the development area, the business can be directly developed; otherwise, it must be negotiated with the local subsidiaries.
4. The project affiliated with the project must sign the “Cooperative Operation Agreement”. The cooperation status shall be subject to the effective date of the contract. The identity of the subsidiary shall be effective as the date on which the subsidiary is incorporated and sealed on the “Cooperative Operation Agreement”.
Second, the basic conditions for applying for cooperation
1. Must have a good personal business reputation in the application area.
2. Understand the industry status of fire protection (human defense, insulation materials), and be interested in long-term sales and operation of products in this industry; and have good contacts, market and other resources in the region.
3. Have the financial strength of operation and have an independent management team.
4. Understand Guotai and be willing to develop together with Cathay.
Third, Cathay Pacific support
1. Do not charge any management fees and affiliate fees.
2. Provide the relevant qualifications of the Group's projects free of charge.
3. Provide the Group's unified VI specification and corporate promotion free of charge.
4. Provide relevant business information of the region free of charge.
5. Enjoy the treatment of dealers who purchase the products produced by the group.
6. The newly registered company Cathay only accounts for 1% of the shares and does not enjoy profit dividends.
Fourth, the subsidiary (applicant) obligations
1. A certain amount of deposit must be paid to the group to protect the group's brand image and fulfill the after-sales service obligations; the amount is tentatively set at 10,000 yuan.
2. The subsidiary company must use the products independently produced by the group to carry out equipment sales and project bidding (except for the designated brands of the project), and the annual sales of the group products are not less than A million yuan, and the performance of the subsidiary company is not less than B yuan (A, B). The value is determined by negotiation between the two parties according to the regional situation).
3. All corporate image display of the subsidiary's external publicity, storefront and office must be implemented in accordance with the Group's unified VI specifications.
4. The Group reviews the subsidiaries once a year. If the above three requirements cannot be met, the Group has the right to terminate the execution of the next year's contract.
V. Cooperation agreement signing process
1. Customers who have the intention to cooperate, first download the "Cooperative Operation Agreement" and initially negotiate with the company according to the content of the agreement.
2. Download the “Cooperation Agreement Application Form” and fill it out as it is. After signing, fax or scan it to the marketing department of the company.
3. Prepare relevant documents: copy of ID card, etc.
4. The application form and documents are submitted to the Group Marketing Department. The Marketing Department reviews whether it meets the requirements of the Group's subsidiaries, whether there are other subsidiaries in the region, and whether the information is accurate.
5. After the audit is completed, report to the marketing director for approval. After the approval, the marketing manager will sign two contracts (the contract fax and the scanned copy will be deemed to be the same contract, and the originals will be signed and sealed and mailed to completion).
Sixth, contract preservation
1. The original contract is kept in the Marketing Department of the Marketing Development Center.
2. The sales department and the finance department of the business department shall each keep a copy for the record.
7. Subsidiary management and services
1. The service management rights of the subsidiary's daily bidding and qualifications are assigned to the group engineering company, and the marketing center conducts supervision and examination.
2. The account manager of the business department assists the engineering company in purchasing the order, collection, delivery, after-sales services of the group's own products, and has the responsibility to assist the market development.
